Requirements

  • Bachelor’s degree in Business, Economics, Finance, Accounting or a related discipline is required, with an MBA, CFA and/or accounting qualification an advantage 
  • 10+ years of corporate development, commercial and strategic experience gained in a comparable corporate development or strategy team, and / or consulting firm 
  • Strong business acumen 
  • Track record of managing and delivering key value-adding elements of a strategic project or transaction, independently, or with minimal support 
  • Executive presence that allows the successful candidate to be credible at the senior management level, with internal and external parties 
  • Experience in a large, complex, matrixed, multi-location international enterprise

Responsibilities

  • Lead the identification, assessment and delivery of strategic commercial initiatives, transactions or partnerships on behalf of Direct Energy and the Centrica group 
  • Partner with BU teams to originate and execute opportunities for growth in North America and other international markets, as required, where these align with group-wide initiatives 
  • Manage and co-ordinate relationships with counterparties of group-wide significance for Centrica 
  • On M&A transactions resulting from the above, manage the associated financial analysis, execution strategy, due diligence and negotiation on a day-to-day basis. Contribute to integration planning and assist in obtaining internal approvals (in line with the GICG and Group M&A practices) 
  • In line with the group strategy and board objectives, identify, research and assess strategic opportunities for the group
  • Liaising with BU leadership, strategy and BD teams, identify opportunities in North America to build stakeholder relationships and support and ensure consistency between individual BUs in their analysis of the relevant opportunities
  • Build relationships with appropriate industry and professional groups (including bankers, private equity firms and potential industry counterparties) so that the business is always current and pro-actively engaged 
  • Originate opportunities through his / her professional network 
  • Work effectively with a focused team of colleagues to compile research, develop detailed financial models, valuation scenarios for potential strategic initiatives and transactions 
  • Prepare regular updates for the M&A Advisory Group, summarising key strategic issues on live transactions and highlighting other topics of interest in relation to ongoing M&A and corporate development activities 
  • Liaise regularly with Senior Manager(s) in Group Strategy to support continued alignment between Strategy and M&A priorities 
  • For relevant M&A transactions, working collaboratively with internal team members and select external advisors:
    • Own and manage the end-to-end transaction execution process including building appropriate business cases, driving the internal approval process, valuation & analytics, managing diligence, deal structuring, negotiations and ensuring appropriate handoff to for integration team (if necessary); collaborate on format for post-transaction reporting
    • Ensure efficient and effective due diligence processes across functional disciplines at the company, including the proper documentation of diligence findings during the transaction process
    • Focus on value creation and risk management at all times and help build the internal case for approval as necessary
    • Negotiate and develop the definitive documentation of a transaction (in concert with legal)
    • Lead the process development within and adoption of the selected M&A project management tool; support as necessary
    • Spearhead best practices initiatives for constant improvement
